GROVE PARENT TEACHER ORGANIZATION INC. BYLAWS
ARTICLE I NAME
The name of the organization shall be the Grove Parent Teacher Organization Inc..
ARTICLE II PURPOSE STATEMENT
The purpose of the Grove PTO is to provide the best possible educational experience for the students of the Grove School System. The organization will strive to:
1. Support the students of the schools with time, concern, and funds;
2. Convene parents and school staff on a regular basis to discuss, to critique, and to become informed about issues of importance;
3. Foster a cooperative relationship between parents, teachers, support staff and school administrators; and
4. Foster a community support system for students in our schools.
ARTICLE III MEMBERSHIP
The Grove PTO will not discriminate in membership or treatment on the basis of race, color, religion, sex, national origin, age, sexual orientation or disability.
Membership in the Grove PTO includes:
1. Parents, step-parents and legal guardians of students enrolled at the schools;
2. All school administrators, teachers and support staff; and
3. Any other adult interested in supporting the purpose of the organization.
Anyone subject to the registration requirements of the Oklahoma Sex Offender Registration Act or the Oklahoma Violent Crime Offenders Registration Act shall not be eligible for membership in the Grove PTO.
ARTICLE IV ELECTED OFFICERS: TERM, DUTIES, RESPONSIBILITIES, REMOVAL AND VACANCIES
The elected officers of the Grove PTO shall be President, Vice-president, Secretary and Treasurer. Each elected officer shall serve a term of one (1) year.
The duties and responsibilities of the President are as follows:
1. Act as the primary spokesperson for the PTO;
2. Preside over all meetings;
3. Monitor and support all activities of the other officers; and
4. Communicate with the membership on a monthly basis.
The duties and responsibilities of the Vice-President are as follows:
1. Act as an assistant to the President and shall perform all duties of the President in his/her absence;
2. Learn the duties of the President and be ready to assume the position of President the following school year; and
3. The Vice-President shall become the President the following school year.
The duties and responsibilities of the Secretary are as follows:
1. Record minutes at each of the monthly meetings;
2. Transcribe the minutes and coordinate their reproduction, as well as publicize them at the next meeting; and
3. Keep all minutes of the current school year on file along with any correspondence.
The duties and responsibilities of the Treasurer are as follows:
1. Receive all monies of the organization;
2. Keep an accurate record of the receipts and expenditures;
3. Pay out funds in accordance with the fiscal guidelines contained within Article VIII of these bylaws; and
4. Present a financial statement at every meeting and at other times when requested by the executive board.
Officers can be removed from office with or without cause by a two-thirds vote of the executive board.
If there is a vacancy in the office of president, the vice president will become the president. If there is a vacancy in any other office, the executive board by a majority vote can appoint someone to the position until the next April meeting.
ARTICLE V ELECTION OF OFFICERS
If the officer positions are contested, the officers of the Grove PTO shall be elected by a written ballot by the general membership at their April meeting.
An Election Committee consisting of three (3) members shall be appointed by the executive board in February. The Election Committee shall present a slate of at least one candidate for each office to be elected at the April meeting. The consent of each candidate must be obtained before his or her name is placed in nomination. Voting shall not be limited to the nominees.
The Election Committee shall oversee the election and tallying of ballots.
ARTICLE VI EXECUTIVE BOARD
The Executive Board shall consist of the following:
1. The elected officers of the PTO;
2. The Principals of each school; and
3. All standing committee heads.
The Duties of the Executive Board shall be as follows:
1. Transact necessary business in the intervals between regular meetings and such other business that may be referred to it by the organization;
2. Create standing and temporary committees necessary to carry out the Purpose of the PTO; and
3. Approve routine bills pursuant to the fiscal guidelines contained within Article VIII of these bylaws.
Quorum: The quorum shall be half the number of the executive board members plus one.
ARTICLE VII STANDING COMMITTEES
1. Fundraising
2. Public Relations
3. Volunteer Coordinators
Committee chairpersons will present progress reports to the membership at the monthly meetings
ARTICE VIII FISCAL GUIDELINES
All expenditures of less than One Hundred Dollars ($100.00) may be approved by the Treasurer.
All expenditures between One Hundred Dollars ($100.00) and Five Hundred Dollars ($500.00) shall be approved by the Executive Board.
All expenditures of more than Five Hundred Dollars ($500.00) shall be approved by the general membership at a monthly meeting.
Signature authority on all bank accounts will be the PTO President and Treasurer.
ARTICLE IX MEETINGS
Executive Board Meetings shall occur on an as needed basis.
The general membership may meet on a monthly basis, but shall meet no less than four (4) times per year. A quorum at a general membership meeting shall be 10 members of the organization.
ARTICLE X PARLIAMENTARY PROCEDURE
Robert’s Rules in Plain English shall guide the Grove PTO in all cases in which they are applicable and in which they are not in conflict with these bylaws.
ARTICLE XI DISSOLUTION
Upon dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.
ARTICLE XII CONFLICT OF INTEREST
Grove PTO shall adopt a conflict of interest policy in order to protect this tax-exempt organization's interestwhen it is contemplating entering into a transaction or arrangement that might benefit the privateinterest of an officer or director of the Organization or might result in a possible excess benefittransaction. This policy is intended to supplement but not replace any applicable state and federallaws governing conflict of interest applicable to nonprofit and charitable organizations.
ARTICLE XIII AMENDMENTS
These bylaws may be amended by a vote of the majority present at any general meeting of the Grove PTO. The amendment must be submitted in writing by email to the general membership prior to the vote.
